Subject to payment of applicable subscription fees and continuing compliance with these Terms, VyxoraStudios grants the Licensee a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, publicly display, publicly perform, and distribute each Asset for commercial and non-commercial purposes, including advertising, packaging, ecommerce listings, social media, editorial features, out-of-home media, and print production.

Licensees operating on the Agency plan may sublicense Assets to their end clients on a per-project basis. The Licensee remains responsible for compliance with these Terms and should deliver Assets together with their accompanying per-image License Certificate to preserve the chain of provenance.

VyxoraStudios does not assert copyright ownership over Assets generated for the Licensee. The Licensee retains ownership of trademarks, product designs, garments and brand identifiers depicted in any source photography they supply. VyxoraStudios retains ownership of the Platform, its underlying models, workflows and non-Asset infrastructure.

The Licensee shall not use any Asset to:

• Depict real, identifiable persons without written consent.
• Infringe third-party intellectual property.
• Create sexual content involving minors.
• Produce defamatory, harassing, unlawful or discriminatory material.
• Train competing generative models on the Assets.
• Resell Assets as standalone stock photography.

VyxoraStudios warrants that Assets are generated by proprietary models and are not knowingly copied from third-party works. VyxoraStudios will indemnify paid-plan Licensees against third-party copyright claims arising from generative model output, capped at fees paid in the prior twelve months, subject to prompt notice and reasonable cooperation.

Every download is delivered with a machine-readable License Certificate containing:

• A unique Certificate ID (format VYX-CERT-XXXXXXXXXXXXXXXX).
• A SHA-256 cryptographic hash of the exported image bytes.
• Timestamp of issuance in ISO 8601 UTC.
• Licensee identity (account holder name and email).
• Preset, project reference and export dimensions.

The certificate can be independently verified by re-hashing the delivered image file and comparing the digest against the value printed on the certificate. Any modification of the image will invalidate the hash — a feature intended to help partners, platforms and advertising networks confirm authorized usage.

The Licensee's right to generate new Assets terminates on cancellation. The license granted for Assets already generated survives termination and remains perpetual, provided the Licensee is not in material breach of these Terms.

These Terms are governed by the laws of the Licensee's country of residence for consumer protection purposes, and otherwise by the laws applicable to VyxoraStudios' operating entity. Disputes shall be resolved by binding arbitration where permitted.
