Terms of Service

You must be at least 18 years old and legally able to enter into a binding contract. If you use the Service on behalf of a company, you represent that you are authorized to bind that entity. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

Paid plans are billed in advance on a recurring monthly basis via our payment processor. Subscriptions renew automatically until canceled from your Billing dashboard. Generation allotments reset at the start of each billing cycle and do not roll over. Prices, included generations, and features are described on our Pricing page and may change with 30 days' notice for existing subscribers.

You retain full ownership of all photos, logos, product images and other content you upload ("Customer Content"). You grant VyxoraStudios a limited, worldwide, royalty-free license to host, process, transmit and transform Customer Content solely to provide the Service to you. We do not sell your Customer Content and we do not use it to train foundation models.

Subject to your compliance with these Terms and payment of applicable fees, you own the images and assets generated for you by the Service ("Outputs") and receive a perpetual, worldwide, commercial license to use them in advertising, e-commerce, packaging, editorial, social media and other commercial contexts. Free-tier Outputs are provided for personal, non-commercial evaluation only and may include a watermark.

You are solely responsible for confirming that your use of Outputs — including any depiction of real people, trademarks, or protected works — complies with applicable law in your jurisdiction.

Your use of the Service is subject to our Acceptable Use Policy. Violations may result in suspension or termination without refund.

The Service uses third-party AI model providers to generate Outputs. Availability, latency and specific model behavior may change. We are not liable for provider outages or model updates that affect stylistic results.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR-FREE, UNIQUE, OR SUITABLE FOR ANY SPECIFIC COMMERCIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYXORASTUDIOS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You will defend, indemnify and hold harmless VyxoraStudios from any claim arising from (a) your Customer Content, (b) your use of Outputs, or (c) your violation of these Terms or applicable law.

You may cancel your subscription at any time from your Billing dashboard. We may suspend or terminate the Service for material breach of these Terms, non-payment, or activity that presents a security or legal risk. Sections that by their nature should survive termination (ownership, disclaimers, liability, indemnity, governing law) will survive.

These Terms are governed by the laws of the jurisdiction in which VyxoraStudios is established, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the courts of that jurisdiction, except where mandatory local consumer law provides otherwise (including for EU residents).

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
